Terms of Service

1. Acceptance of Terms
By accessing or using the SoftGodam platform, website, or services, you agree to be bound by these Terms of Service. If you are using the platform on behalf of a company or organisation, you represent that you have authority to bind that entity to these terms.
If you do not agree to these terms, do not use our services.
2. Services
SoftGodam provides a platform for software delivery management, including client project management, support ticket handling, SLA tracking, invoicing, and team coordination. The specific services available to you depend on your account type and any active service agreement.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. We will not be liable to you or any third party for such modifications.
3. Accounts
You are responsible for:
- Providing accurate registration information and keeping it up to date
- Maintaining the confidentiality of your password
- All activity that occurs under your account
You must notify us immediately at support@softgodam.com support@softgodam.com support@softgodam.com if you become aware of any unauthorised use of your account. We are not liable for losses caused by unauthorised use of your credentials.
You may not create accounts for the purpose of impersonating another person or entity, or to circumvent account restrictions.
4. Client Obligations
As a client, you agree to:
- Provide timely feedback, approvals, and information required for project delivery
- Pay invoices within the agreed payment terms
- Use support tickets and escalation features for their intended purpose
- Not share platform access credentials with unauthorised parties
Delays caused by failure to provide required information or approvals do not constitute a breach of SLA by SoftGodam.
5. Intellectual Property
Unless otherwise agreed in a separate written engagement agreement, all code, designs, and deliverables produced by SoftGodam for a client become the property of that client upon full payment of the relevant invoice.
SoftGodam retains ownership of its platform, proprietary tooling, templates, and methodologies. Nothing in these terms transfers ownership of the SoftGodam platform or brand to you.
By submitting content to the platform (tickets, messages, documents), you grant SoftGodam a limited licence to use that content solely for the purpose of providing the services.
6. Payment Terms
- Invoices are due within the payment period stated on the invoice (default: 14 days)
- Late payments may incur a 1.5% monthly interest charge
- We reserve the right to suspend services for accounts with overdue invoices after 30 days
- All fees are exclusive of applicable taxes unless stated otherwise
Disputed invoices must be raised in writing within 7 days of the invoice date. Undisputed portions of an invoice remain due on the original payment date.
7. SLA and Service Credits
SLA commitments and any associated service credits are governed by the SLA tier active on your account and any written service agreement in place. Service credits are the sole remedy for SLA breaches and do not entitle you to a cash refund.
SLA obligations are suspended during periods of force majeure, scheduled maintenance (notified at least 48 hours in advance), or delays attributable to the client.
8. Prohibited Use
You may not use our platform to:
- Violate any applicable law or regulation
- Transmit malware, spam, or harmful code
- Attempt to gain unauthorised access to other accounts or systems
- Reverse-engineer, scrape, or copy the platform without written permission
- Harass or abuse other users or SoftGodam team members
Violation of these restrictions may result in immediate account termination without refund.
9. Limitation of Liability
To the maximum extent permitted by law, SoftGodam's total liability for any claim arising from these terms or your use of the services is limited to the amount you paid to SoftGodam in the 3 months prior to the event giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, even if we have been advised of the possibility of such damages.
10. Termination
Either party may terminate a retainer engagement with 30 days' written notice. Fixed-price engagements may be terminated as specified in the project agreement.
On termination, you retain access to your data for 30 days, after which your account will be closed and data deleted per our Privacy Policy.
We may terminate or suspend your account immediately if you materially breach these terms and fail to remedy the breach within 7 days of written notice.
11. Governing Law
These terms are governed by the laws of India. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of India.
12. Changes to These Terms
We may revise these terms from time to time. We will provide at least 14 days' notice of material changes by email or by posting a notice on the platform. Continued use after the effective date of revised terms constitutes acceptance.
